Terms of Service

These Terms of Service ("Terms") govern your use of Ads123 (the "Service"), a SaaS application operated by Xiamen Yunzhongcheng Technology Co., Ltd. ("we", "us", or "our") that provides Amazon sellers with advertising campaign management and performance optimization features through the Amazon Advertising API.

By requesting access to or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Service Description

Ads123 is a SaaS application that helps authorized Amazon sellers manage advertising campaigns and optimize advertising performance. The Service provides:

  • Campaign performance monitoring across Sponsored Products, Sponsored Brands, and Sponsored Display
  • Search term analysis to identify scaling opportunities and negation candidates
  • Bid optimization suggestions based on campaign performance data
  • Budget management with depletion projection alerts
  • Performance reporting with customizable date ranges and metric selections
  • Campaign change history to correlate configuration changes with performance shifts

The Service accesses Amazon advertising data exclusively through the Amazon Advertising API and only after explicit authorization by the seller via Amazon's secure OAuth workflow.

2. Eligibility and Access

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have an active Amazon advertising account in good standing
  • Have the authority to authorize third-party applications on behalf of your Amazon advertising business
  • Provide accurate and complete information during the access request process

2.2 Early Access Program

Access to Ads123 is granted through our Early Access Program. After your access request is submitted and approved, you will authorize the application through Amazon's secure OAuth flow, granting the Service access to your Amazon advertising data within the authorized scope. You are responsible for all activities that occur under your authorization and must revoke access through your Amazon advertising settings if you suspect unauthorized use.

3. Authorization and Amazon Data

3.1 Authorization

By connecting your Amazon advertising account to Ads123, you authorize us to access your Amazon advertising data through the Amazon Advertising API, limited to the campaign_management scope and the specific API operations necessary to provide the Service. Authorization is granted through Amazon's secure OAuth 2.0 consent flow and is revocable at any time.

3.2 Data Usage

We process your Amazon advertising data solely for providing the campaign management and performance optimization features of the Service. We do not:

  • Access buyer Personally Identifiable Information (PII)
  • Merge Amazon advertising data with third-party data sources
  • Sell, share, or distribute Amazon advertising data to any third party
  • Use Amazon advertising data for advertising targeting, retargeting, or audience building
  • Retrieve Amazon advertising data from any external (non-Amazon) sources

3.3 Revocation

You may revoke Ads123's access to your Amazon advertising data at any time through your Amazon advertising account settings. Upon revocation, we will immediately cease accessing your advertising data and will permanently delete all associated data within 72 hours using NIST SP 800-88 sanitization standards, as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

  • Use the Service to violate any agreement between you and Amazon, including the Amazon Advertising API License Agreement and Acceptable Use Policy
  • Use the Service to manipulate Amazon's advertising systems, including click fraud, impression fraud, or ranking manipulation
  • Resell or redistribute access to the Service without our written consent
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to access advertising data from Amazon accounts other than your own
  • Use the Service in any manner that could disrupt or interfere with Amazon's advertising systems or services

5. Pricing and Payment

5.1 Subscription Plans

We offer subscription plans as described on our pricing page. Plan features, campaign volume limits, ad spend thresholds, and internal user seats vary by plan. Each plan requires explicit seller authorization via Amazon Advertising OAuth.

5.2 Free Trial

We offer a 14-day free trial for the Starter and Growth plans. The trial includes all features of the selected plan. Upon trial expiration, you must select a paid plan to continue using the Service.

5.3 Billing

Paid subscriptions are billed monthly in USD. Enterprise plans may be billed on a custom schedule as agreed in a written quote. Payment is processed through our payment provider at the time of subscription and on each renewal date. All fees are non-refundable except as required by applicable law.

5.4 Price Changes

We may change our pricing at any time. Price changes will take effect at the start of your next billing cycle following 30 days' notice. You may cancel your subscription before the price change takes effect.

6. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Amazon Advertising API outages or rate limiting
  • Network or infrastructure issues
  • Force majeure events

We are not responsible for any disruption to Amazon's Advertising API or changes to Amazon's API policies that may affect the Service's functionality.

7. Intellectual Property

The Service, including its design, features, and content, is the intellectual property of Xiamen Yunzhongcheng Technology Co., Ltd. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

Ads123 is an independent application and is not affiliated with, endorsed by, or sponsored by Amazon. "Amazon" and related trademarks are the property of Amazon.com, Inc. or its affiliates.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that:

  • The Service will be error-free or uninterrupted
  • Advertising performance data will be real-time or perfectly accurate at all times
  • Bid optimization suggestions will produce specific advertising outcomes
  • Alerts and notifications will be delivered without delay
  • The Service will meet your specific business requirements

You should not rely solely on the Service for critical advertising decisions. You are responsible for verifying advertising performance data and managing your campaigns through your Amazon advertising account as needed.

9. Limitation of Liability

To the maximum extent permitted by law, Xiamen Yunzhongcheng Technology Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Wasted ad spend or suboptimal campaign performance
  • Amazon advertising account suspension or performance metric impacts
  • Data loss or corruption
  • Any damages resulting from Amazon Advertising API outages or policy changes

Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Xiamen Yunzhongcheng Technology Co., Ltd. and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of Amazon's advertising policies or agreements
  • Your infringement of any third party's rights

11. Termination

11.1 Termination by You

You may cancel your subscription at any time by contacting us at contact@yzccn.com or by revoking Ads123's authorization through your Amazon advertising account settings. Cancellation takes effect at the end of the current billing cycle.

11.2 Termination by Us

We may suspend or terminate your access to the Service if:

  • You violate these Terms or Amazon's advertising policies
  • Your Amazon advertising account is suspended or terminated
  • You fail to pay subscription fees when due
  • Your use of the Service poses a risk to our systems or other users

11.3 Effect of Termination

Upon termination, we will revoke your Amazon Advertising API authorization, cease accessing your advertising data, and delete all associated data within 72 hours in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if unresolved, through arbitration in Xiamen, Fujian, China.
